Welcome to Lucina Tech. These Terms and Conditions (“Terms”) govern your use of our website, services, and related platforms operated by Lucina Tech (“we,” “us,” “our”).
By accessing or using our services, you agree to these Terms. If you do not agree, please discontinue use immediately.
1. Company Overview
Lucina Tech provides offshore and remote professional support services through contracted personnel across various industries.
Our resources are employees or contractors of Lucina Tech — not direct employees of our clients.
2. Services
We provide flexible, full-time, or part-time offshore staffing solutions, including:

Administrative and executive assistance

Marketing, creative, and customer support

IT, software, and technical services

Project and operations management
All services are defined in a written Service Agreement outlining scope, rates, and duration.
3. Engagement Terms

Clients engage Lucina Tech, not individual professionals.

We handle recruitment, onboarding, HR, and compliance.

A one-month free service applies with a nine-month commitment, unless otherwise agreed.

Assigned professionals work remotely during U.S. business hours, ensuring seamless collaboration.
4. Fees and Payment

Invoices are issued monthly in USD.

Payment is due within 15 days of invoice date.

Late payments may incur a 2% monthly charge.

Fees are non-refundable once services have started.
5. Client Responsibilities
Clients agree to:

Provide the necessary direction, access, and tools.

Maintain professional communication.

Not directly hire or solicit Lucina Tech staff outside the agreement (see Section 6).
6. Non-Solicitation
Clients may not directly employ or contract any Lucina Tech personnel during or within 12 months following service termination without written approval and payment of a recruitment fee equal to 25% of the individual’s annual rate.
7. Confidentiality
Both parties agree to keep confidential all non-public information obtained during engagement.
Lucina Tech ensures all contracted professionals sign confidentiality and data-protection agreements.
8. Data Security and Privacy
We take security seriously. Lucina Tech uses secure systems to protect all client information and complies with applicable data-protection laws.
Clients remain responsible for protecting any credentials shared with assigned professionals.
9. Limitation of Liability
Lucina Tech is not liable for any indirect, incidental, or consequential damages arising from service use.
Total liability is limited to the amount paid by the client during the three (3) months prior to the claim.
10. Termination
Either party may terminate the agreement as specified in the Service Agreement.
Lucina Tech reserves the right to suspend or terminate services for non-payment, confidentiality breaches, or unethical conduct.
11. Intellectual Property
Unless otherwise agreed, all deliverables created by Lucina Tech professionals become the client’s property upon full payment.
Lucina Tech retains ownership of proprietary tools, methods, and internal systems.
12. Governing Law
These Terms are governed by the laws of the State of California.
Disputes shall be resolved in the courts of Los Angeles County, California.
13. Updates
We may update these Terms at any time. Revised versions will be posted on this page and are effective upon posting.
Continued use of our services constitutes acceptance of any changes.
